1. Introduction

These Terms of Service ("Terms") govern your access to and use of Memochat ("the Service"), a web application that transforms AI conversation transcripts into study materials such as flashcards, quizzes, and notes. By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of the Service

Memochat allows users to paste a publicly shared ChatGPT conversation link. The Service retrieves the conversation content from that public URL and uses artificial intelligence (powered by OpenAI) to generate study materials, including:

  • Flashcards (question-and-answer format)
  • Multiple-choice quizzes
  • Structured study notes (with a built-in rich text editor)

Users can also export their study materials to Notion or download them as PDF files.

3. Eligibility

You must be at least 16 years old to use Memochat. By using the Service, you represent and warrant that you meet this age requirement. If you are under the age of legal majority in your jurisdiction, you confirm that you have obtained consent from a parent or legal guardian.

4. Account Registration

To use certain features of the Service, you must sign in using Google OAuth. When you authenticate, we receive your name, email address, and profile picture from Google. You are responsible for maintaining the security of your account and for all activity that occurs under it.

You may not share your account credentials or allow others to access your account. You agree to notify us immediately of any unauthorized use.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Submit content that infringes the intellectual property rights of others.
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated scripts, bots, or scrapers to access the Service.
  • Circumvent usage limits, rate limits, or any technical restrictions.
  • Resell, redistribute, or sublicense the Service or any generated content for commercial purposes without authorization.

We reserve the right to suspend or terminate your access if you violate these Terms.

6. User Content

"User Content" refers to the ChatGPT conversation URLs you submit and the study materials generated from them. You retain ownership of any content you submit. By using the Service, you grant Memochat a limited, non-exclusive license to process your submitted content solely for the purpose of generating study materials.

You are solely responsible for ensuring that you have the right to share the conversation content you submit. Memochat does not access your ChatGPT account; it only reads publicly shared conversation links that you provide.

7. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by Memochat and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without prior written consent.

Study materials generated by the Service are provided for your personal, non-commercial use. The AI-generated content is produced algorithmically and should not be treated as professional, academic, or expert advice.

8. Subscriptions and Payments

8.1 Plans

Memochat offers the following plans:

  • Free: 3 generations per week, with access to flashcards, quizzes, notes, and export features.
  • Pro: 150 generations per month, priced at $8.99/month or $35.99/semester (6 months). No confirmation prompts on long conversations.
  • Booster Pack: A one-time purchase of 50 additional generations for $3.99 (available to Pro subscribers only). Credits do not expire.

8.2 Billing

All payments are processed securely through Stripe. Prices displayed on the Service may be automatically adapted to your local currency via Stripe Adaptive Pricing. Subscription fees are billed in advance on a recurring basis (monthly or every 6 months, depending on your selected plan).

8.3 Cancellation

You may cancel your Pro subscription at any time from your account settings. Upon cancellation, your Pro access remains active until the end of the current billing period. No partial refunds are provided for unused time within a billing period.

8.4 Refunds

Due to the digital nature of the Service, refunds are generally not provided once a billing cycle has begun or a Booster Pack has been purchased. If you believe a charge was made in error, please contact us and we will review your case.

9. Third-Party Services

Memochat integrates with the following third-party services:

  • Google – for authentication (OAuth).
  • Supabase – for database storage and user management.
  • OpenAI – for AI-powered content generation.
  • Stripe – for payment processing.
  • Notion – for optional export of study notes (user-initiated connection).

Your use of these third-party services is subject to their respective terms and privacy policies. Memochat is not responsible for the availability, accuracy, or practices of third-party services.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. Memochat does not guarantee that:

  • The Service will be uninterrupted, error-free, or secure.
  • AI-generated study materials will be accurate, complete, or suitable for any particular purpose.
  • The Service will meet your specific requirements.

You acknowledge that AI-generated content may contain inaccuracies and should be verified independently before relying on it for academic or professional purposes.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Memochat and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of data, loss of profits, or academic outcomes.

Our total liability for any claim arising from your use of the Service shall not exceed the total amount you have paid to Memochat in the 12 months preceding the claim.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will remain in effect.

13. Changes to the Terms

We may modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via the Service. Your continued use after such changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable national laws of the jurisdiction in which the operator is established, without regard to conflict-of-law principles.
